The 172.1 kilometres long 5th edition of the Memorial Pantani was an animating race which took place in and around Cesenatico (Italy), the hometown of the legendary Italian climber.. The race to honour Marco Pantani who died on February 14, 2004 was animated by a long escape. Enrico Rossi ( NGC Medical-OTC Industria Porte) and Luca Celli (LPR) attacked after 23 kilometres. Rossi and Celli worked together very well and after 96 kilometres the two escapees had a lead of 8:05. It was the maximum lead and the moment that Lampre's Damiano Cunego and winner of the first edition of the race (2004) gave his team instructions to start the chase.

On the final climb Luca Celli was dropped by Rossi while Damiano Cunego (Lampre), Ruslan Pidgornyy (LPR) and Leonardo Bertagnolli (Liquigas) were chasing the 26 year old Italian rider. The Cunego group came very close but Enrico Rossi managed to save 5 seconds of his lead and celebrated his first win of the season. Damiano Cunego came in second, Ruslan Pidgornyy completed the podium.
